LRALC EGM - 2nd February 2023

LRALC is calling an Extraordinary General Meeting on Thursday 2nd February 2023 at 7pm, by Zoom. We expect this meeting to be very short, as it is only considering one issue, and we hope this will encourage all councils to consider sending a delegate or proxy vote as it is critical that the EGM is at least quorate.
Members will be asked to consider a temporary removal of the 3-year limit on the term of office for elected Officers (e.g., the LRALC Chairman and Vice-Chairman) of LRALC. Our directors chose to include this requirement in our articles of association when we became a company back in 2018.
Since then, it has become clear that in a few places in our articles there are certain limitations, drawbacks, and unnecessary bureaucracy, which do not aid the effective and efficient running of the company on your behalf. Having a small board of directors, many of whom are long serving, and an absolute ban on any of them holding any specific elected officer positions for any more than 3 years in their lifetime on the board is one such requirement.
The board of directors will be bringing a full review of the articles to the membership via an EGM or AGM during 2023, but the board decided at its December meeting that an immediate temporary change to the 3-year limit was required in the short-term to enable not only continuity, but also the widest pool of talent possible for key elected officer positions. We hope you will support this motion.
